NCLT Approves Merger of TCI Ventures and Stratsol Logistics with Transport Corporation of India

The National Company Law Tribunal (NCLT) has approved the amalgamation of TCI Ventures and Stratsol Logistics with Transport Corporation of India (TCI), an integrated logistics company. The approval was granted on August 14, as per a filing made by TCI with the Bombay Stock Exchange (BSE).

The merger involves TCI Ventures, a wholly-owned subsidiary, and Stratsol Logistics, a step-down wholly-owned subsidiary of TCI, with their parent company. The NCLT's Hyderabad Bench issued the approval order for the Scheme of Amalgamation on August 14, 2024.

“The Scheme of Amalgamation... of TCI Ventures and Stratsol Logistics, wholly owned subsidiary and step-down wholly owned subsidiary, respectively, of Transport Corporation of India, with TCI and their respective shareholders and creditors, has been approved by the National Company Law Tribunal (NCLT), Hyderabad Bench, vide order dated August 14, 2024,” TCI stated in the BSE filing.


Following the NCLT’s approval, TCI noted that the amalgamated entities would be dissolved once the order is officially filed with the Registrar of Companies under the Ministry of Corporate Affairs.
