Deutsche Bahn AG (DB) has officially completed the sale of its logistics subsidiary, DB Schenker, to Danish transport and Logistics group DSV for an enterprise value of €14.3 billion. The move marks a strategic shift for DB, allowing it to streamline operations and concentrate on its core rail business. The proceeds from the sale will be used to significantly reduce the DB Group’s debt.

The transaction, finalized earlier than expected, followed a competitive and transparent sale process that began in December 2023, in compliance with EU regulations. DSV secured all necessary approvals from antitrust regulators in both the European Union and the United States. The deal was deemed the most financially favorable option for Deutsche Bahn.

DSV plans to invest approximately €1 billion in Germany over the next three to five years as part of its post-acquisition strategy. The merger will position the combined entity as a global leader in transport and logistics services.

Dr. Richard Lutz, CEO of Deutsche Bahn, stated, "This is the largest corporate transaction in Deutsche Bahn’s history and a key milestone in simplifying our structure. Our full focus now turns to improving rail infrastructure, operations, and profitability."

Jens Lund, CEO of DSV A/S, remarked, "Welcoming Schenker into the DSV family marks a milestone for us. Together, we aim to build a flexible, global logistics platform that supports long-term growth and value for all stakeholders."

Jochen Thewes, CEO of Schenker AG, added, "Our journey with Deutsche Bahn has been exceptional, and we are proud of what we’ve achieved. Under DSV, we now look forward to becoming the world’s largest logistics group."

The sale follows DB’s earlier divestiture of DB Arriva, its regional transport subsidiary, in summer 2024.
